PROPOSED CONSTITUTION AND B Y-LA WS OF THE BO-ARRO HUNTERS CLUB 2/24/96
ARTICLE
I-- OBJECTS: ARTICLE
Ill -- FISCAL YEAR: SECTION I The name
of this Corporation shall be the Bo-Arro
Hunters Club. SECTION 1 Our fiscal
year shall coincide with the calendar
year (October I - September 30) SECTION I! The object
of this Corporation shall be to foster, expand and perpetuate the practice of
field archery. To foster and perpetuate a spirit of good fellowship among
archers; to encourage the use of the bow in hunting. To protect, improve and
increase the privileges of the bow and arrow hunters, consistent with the rights
of other hunters, property owners and the public. ARTICLE
IV -- PRINCIPAL AND REGISTERED OFFICES: SECTION 1 The
principle office of this Corporation shall be located in the State of Illinois.
The corporation may have other offices, either within or without the State of
Illinois ARTICLE
!! -- POLICIES: SECTION I This
Corporation shall be a non-stock organization. No dividends or pecuniary profits
shall be declared or ever accrued to the members thereof. SECTION II The
registered office of the Corporation may be, but need not be, identical with the
principal office; and the address of the registered office may be changed from
time to time by the Board of Directors. ARTICLE
V -- MEETINGS AND SECTION II All dues
or fees received shall be used to improve and maintain the standards of the Bo-Arro Hunters Club. SECTION III We accept
the current or latest edition of the NFAA handbook as a guide for club
operations not otherwise covered in these by-laws and Constitution. VOTING: SECTION 1 There
shall be a meeting the first Sunday of each month, unless otherwise noted in the
newsletter, i.e., holidays, etc. SECTION II Notices of

II! Voting,
Each adult member in good standing (i.e., adult member in good standing, paid
dues, etc. refer to (Article V! - Section !II ) shall be entitled
to one vote on each subject brought to the membership for a vote. SECTION IV QUORUM, a
minimum of twenty percent (20%) of the entire adult membership in good standing
shall constitute a quorum at the regular meetings ARTICLE
VI -- MEMBERSHIP AND DUES: Bo-Arro,
not from the same family. Serving a minimum of three (3) months probationary
period, plus, approval from the Board of Directors. All
Probationary members must attend two(2) out of the three (3) meetings, during
their probationary period. Probationary members are required to complete a
minimum of three (3) work hours during their probationary period. The Board
of Directors can vote into Full membership any probationary member that has met
all probationary requirements prior to the completion of the three (3) month
probationary period. SECTION ! The
membership will not exceed 250 adult members, except for children of current
members. The Board of Directors will have the privilege to amend this
number if beneficial to the Club. SECTION IV Initiation
fee per adult member is $50.00 This fee will not be refunded if the application
is rejected for any reason. The fee is not considered part of the first
year's dues. Once your are a member the dues will be prorated for the duration
of the year. SECTION !! Membership

Ill The rights
and privileges of adult membership may be granted to an individual who has
attained the age of 18 years, upon application and payment of a $50.00
initiation tee, and with the sponsorship of two (2) adult members of SECTION V Dues per
Single and Family membership in good standing, $120.00 per year, Dues are to be
paid in advance, semiannually, the first half due January I st, the second
half due July I st Senior
members over the age of 62 years, on a fixed income and neither spouse working,
dues are to be fixed at $6000 per family PROPOSED) CONSTITUTI()N AND B Y-LA WS OF THE BO-ARRO HUNTERS CLUB If a
member has not paid dues as of February 1st or August 1st for one-half years
dues they are automatically dropped from the Club. To be reinstated as a member
in good standing one (1) years' dues ($120.00) in addition a $20.00 late tee
will be charged and must be paid by the next Board of Directors meeting SECTION V! Children
of adult members in good standing under 18 years of age, full-time students up
to age 23 or members of the Armed Forces will be granted privileges of
membership except voting. They may not hold office On or after their 18th
Birthday, children of adult members in good standing may apply for adult
membership. The initiation fee and probationary period will be waived for these
individuals, the application, however, must be reviewed and accepted by the
Board of Directors. 2/24/96 Corporation
are paid in full. A member granted a leave of absence shall not be required to
pay dues during that time. In the event that person wishes to return before the
year has expired, they must be required to pay a full year's dues, and fulfill
the full year's work hours required. In the event that there is a waiting list,
the member on a leave of absence will have first preference on this list. This
leave of absence may be extended upon written request to the Board of Directors. SECTION IV Reinstatement
of ex-Members A member dropped from the Club for delinquency of dues, work
fines, etc, may apply for membership at any time within a period of three (3)
years provided that they pay all previous obligations to the Club. On the first
day of the fourth (4) year, they can apply without payment of previous
obligations. Applications will be subject to approval by the Board of Directors. SECTION VII Any Member
entering the Armed Forces shall become an honorary Member to be reinstated when
discharged from service upon written request within six (6) months after date of
discharge from service and payment of current dues. ARTICLE
VII -- BO-ARRO NEWSLETTER: The Bo-Arro News is the official publication
of the Bo-Arro Hunters Club. SECTION VIII If any
Member desires a leave of absence from the Corporation, they must submit their
reasons in writing to the Board of Directors. If the Board of Directors deems
the reason valid, the member will be granted a leave of absence for a period of
One (1) year provided all current dues and debts to the ARTICLE
VIII -- OFFICERS AND The
officers of the Corporation shall be a President,
Vice President, Corresponding Secretary,
Recording Secretary, Treasurer,
Range Captain and a Sergeant at arms.
The Range Captain is to choose an
assistant and both are Board

OFFICERS
SECTION I! Nominations
of candidates for offices shall be made at the regular meeting in JULY, with
additional nominations at the regular AUGUST meeting. SECTION
!!! Term of
office shall be two (2) years, consecutive with the Clubs' fiscal year {October
I to September 30), not to exceed 2 consecutive terms, with the exception of the
office of Treasurer, the treasurer may continue as long as they are elected by
the general membership. An officer may serve more then two consecutive terms by
being elected to another office. SECTION ! The
President shall coordinate all activities and business of the Corporation,
preside at all meetings, appoint and be an ex-officio member of all standing
committees, and shall, in general, perform the duties incident to their office. SECTION 11 The
Vice-President shall act as aide to the President and shall perform the duties
of the President if they are unable to act The Vice President shall also fill
the vacancy of the President in case of their death or resignation. The Vice
President will be responsible for the scheduling and fulfilling of all social
activities. SECTION IV Election
of Officers shall be by Secret Ballot to be mailed to the adult membership before
the September meeting Ballots mailed or presented to the election officer
(Corresponding Secretary) before or at the September meeting shall count for the
election of the candidate with the most votes. Elected officer will take office
on October 1st. SECTION V Vacancies
occurring in elected offices, other than the Presidency shall be filled at the
next general meeting by a Secret Ballot SECTION
1II The
Recording Secretary shall keep a bound record of the proceedings of all
meetings, both general and Board of Directors, and shall be responsible for
accurate vote count on all motions and election. The recording secretary shall
also keep a separate bound book in which the Constitution and by-laws and
adopted amendments are written, with reference to dates. A synopsis of all Board
meetings shall be read by the recording secretary at the general meetings. SECTION V! Any
officer may be removed from office by two thirds of a quorum vote of the entire
voting membership. SECTION IV The
Corresponding Secretary shall be responsible for all written correspondence,
pertaining to the business of the Corporation. PROPOSED 2/24/96 SECTION II The
Board of Directors shall consist of the elected officers and four (4) appointees
chosen by the President. These appointed positions are as follows: Shoots
Chairman, Editor, Rules and Safety, and Awards and Trophies: the retiring
President will also serve on the Board of Directors as advisor and be in charge
of improvement and beautification. SECTION V The
Treasurer shall receive all money of the Corporation, shall keep an accurate and
complete record of all receipts and disbursements, shall pay out money as voted
by the Board of Directors or by vote of the membership at a general meeting The
treasurer shall submit a written report at each general meeting and a
semi-annual financial statement to the members as of June 30 and December 31 SECTION VI The Range
Captain(s) shall be responsible for the maintenance of the range properties and
the safety and approval (official range inspection) of the course They shall
also be responsible for maintaining an accurate log of Members work hours, and
posting a list of tasks to be completed. SECTION
!II The Board
of Directors may provide by resolution the time and place for holding its
meetings. Special meetings may be called by the Board of Directors or at the
request of the President any time deemed necessary. SECTION IV QUORUM. A
majority (51%) of the entire
Board shall constitute a quorum at Board meetings. SECTION
VII The
Sergeant at Arms shall maintain order by direction of the President at all
meetings and at the range property. The Sergeant at Arms shall also keep
up-to-date records of all club properties and make this inventory, available to
the Board of Directors when requested. ARTICLE
X-- BOARD OF SECTION ! The
business and affairs of the Corporation shall be managed by its Board of
Directors. They shall establish rules pertaining to safety, shooting, awards and
range properties. SECTION V In the
case of resignation or death of any appointee, the vacancy shall be filled at
the discretion of the President. SECTION V! Committees.
The Board of Directors may establish any committees deemed necessary for the
improvement of the Bo-Arro Hunters Club. It is necessary for at least one (1)

VII Personal
property abandoned on Club properties will be subject to confiscation by the
Board of Directors and will be either disposed of or inventoried as Club
property SECTION VIII The Board
of Directors shall be empowered to assess fines and establish
fee's They shall also levy work time. SECTION IX The Board
of Directors may suspend or expel any member for conduct detrimental to the
interests of the Club. ARTICLE
Xi -- AMENDMENTS: SECTION ! These
by-laws may be amended at any General meeting of the Corporation if said action
is announced in writing one week in advance to each member and if a Majority (5
I%) of the quorum give an affirmative vote. |
